SkillsTech End User License Agreement

This End User License Agreement ("Agreement") is a legal agreement between you and Skills Tech Talk, LLC ("Skills Tech Talk", "we", "us") governing your use of the SkillsTech desktop application and its bundled components (the "Software"). By installing or using the Software, you agree to this Agreement. If you do not agree, do not install or use the Software.

1. License grant

Skills Tech Talk grants you a free, worldwide, non-exclusive, non-transferable license to install and use the Software for personal or commercial software development. The Software is free to use. No account or login is required to edit code.

2. Ownership

The SkillsTech name, logo, branding, and SkillsTech-authored components (including the ownership-loop experience) are owned by Skills Tech Talk and protected by intellectual property laws. Except for the rights expressly granted here, no rights are transferred to you. The SkillsTech™ mark may not be used to name, brand, or promote derivative or competing products without prior written permission.

3. Open-source components

The Software is built on open-source foundations and includes third-party components under their own licenses, including:

Your use of those components is governed by their respective licenses. Nothing here limits your rights under any applicable open-source license.

4. The Skills Tech ecosystem and paid services

The Software may connect to separate products in the Skills Tech ecosystem, including OpenThunder, Repo Mastery, Skills Tech Talk, and Skills Tech Workspace, provided under their own terms. Paid capabilities require a separate subscription or entitlement and are billed by Skills Tech Talk, LLC as merchant of record. This Agreement does not grant access to any paid capability.

5. Privacy and your code

The Software is local-first. It does not upload your source code by default. Optional features that connect to the OpenThunder engine run on your machine (localhost) unless you explicitly enable a cloud capability. Optional sign-in is never required to edit code. Product telemetry is disabled by default.

6. Acceptable use

You agree not to: (a) use the Software for unlawful purposes; (b) misrepresent the Software as an official Microsoft or Visual Studio product; (c) remove or alter proprietary notices; or (d) use the SkillsTech marks in a way likely to cause confusion.

7. Disclaimer of warranty

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. You are responsible for reviewing and verifying any code, analysis, or output before relying on it.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SKILLS TECH TALK, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR BUSINESS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE. Our total liability for any claim shall not exceed one hundred US dollars ($100).

9. Termination

This Agreement is effective until terminated, and terminates automatically if you breach it. Upon termination you must stop using and remove the Software. Sections 2, 7, 8, and 10 survive termination.

10. Changes

We may update this Agreement from time to time. Material changes will be reflected by the "Last updated" date above and posted at skillstech.dev/eula. Continued use after an update constitutes acceptance.

11. Governing law

This Agreement is governed by the laws of the United States and the state in which Skills Tech Talk, LLC is organized, without regard to conflict-of-laws principles.
